End User Licence Agreement
This agreement covers the Stillpoint CRM software itself — what you may do with it, how activation works, and who owns it. It sits alongside our Terms of Service.
This page is a plain-language summary of our current terms and is not legal advice.
Last updated: August 2026
1. Parties and acceptance
This End User Licence Agreement (“EULA”) is between you (the “Licensee”) and JAK Solutions (the “Licensor”), the developer of Stillpoint CRM. By installing, activating or using the software you accept this EULA. If you are accepting on behalf of an organisation, you confirm you have authority to bind it.
2. Licence granted
The Licensor grants the Licensee a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the software, in object form as distributed, on the number of WordPress sites permitted by the purchased tier, for the Licensee's internal business purposes or the sites of clients the Licensee administers. This is a licence to use the software; it is not a sale of the software.
3. Per-site activation
Each installation is activated against a site URL using a licence key issued through Freemius. Activation slots are limited to the tier purchased — 1 site (Starter), up to 5 sites (Pro), up to 20 sites (Agency). Deactivating a site releases its slot, so migrations and retirements are straightforward. Non-public staging or local development copies of a licensed production site are permitted. Activation checks transmit only licence metadata — the site URL, plugin version and activation status — and never any CRM records.
4. Restrictions
The Licensee may not:
- copy the software except as reasonably required for installation and backup;
- distribute, resell, rent, lease, sublicense, or make the software or its source code available to any third party;
- publish the source code, in whole or in part, in any public or private repository or marketplace;
- modify, adapt, translate or create derivative works for distribution, or merge the software into another distributed product;
- reverse engineer, decompile or disassemble the software except to the limited extent such a restriction is unenforceable under applicable law;
- remove, alter or circumvent any licensing, activation, update, copyright or attribution notice.
5. Ownership of intellectual property
All right, title and interest in and to the software — including its source code, database design, interface, documentation, name, logo and all copyrights, trade marks, trade secrets and other intellectual property rights — remain the exclusive property of JAK Solutions and its licensors. No rights are granted other than the licence expressly set out above.
Conversely, all data the Licensee creates or stores using the software remains the Licensee's property. The software is self-hosted: that data lives in the Licensee's own database and the Licensor claims no interest in it and has no access to it.
6. Third-party components
The software may include third-party libraries distributed under their own licences. Those licences continue to apply to those components, and where they conflict with this EULA in respect of a component, the component's own licence governs it.
7. Updates and support
Updates and support are provided while a subscription is active, as described in the Terms of Service. Updates supplied under this EULA form part of the software and are covered by it.
8. Term, expiry and termination
This EULA takes effect on first installation and continues until terminated. If the subscription lapses, the licence to continue using the already-installed version persists on a soft-gate basis: the core CRM keeps operating on the Licensee's data, while premium and ecommerce features, updates and support pause. The Licensor may terminate the licence on material breach of clause 4, in which case the Licensee must cease use and remove the software from all sites. The Licensee may export their data at any time, including after termination.
9. Warranties and liability
The software is licensed “as is”, without warranty of any kind. The warranty disclaimers and limitation of liability in the Terms of Service apply equally to this EULA and are incorporated by reference.
10. Governing law
This EULA is governed by the laws of the Republic of South Africa. [Placeholder — to be confirmed by our attorney.] Questions about licensing can go through the contact page.
